Run MEMTEST. My symptoms were identical and MEMTEST said a memory stick was bad.

I just checked mine, and it says Pheonix. http://www.pcguide.com/ts/x/sys/beep/phoenix/new.htm According to this, 1-3-3-1 says a failure of memory or motherboard. Ouch.
