The biggest downfall is going to be only having 64mb of VRAM. 128mb seems to be the min to keep any decent quality level. It should run mid fairly easily all other specs considered.

FWIW I had the exact same problem as you with the software in Win2K (on a 6805). Could not find a fix or update so I just disabled it like you did. Everything works perfectly fine without it running.
