D900t Just quit on me continuos beep laptop dream shattered dont even want to sell it

Hi
I was using my clevo d900t which i was using was working perfectly normal and just rebooted on its own and bios was detecting the hdd and rebooting again and again all by itself i turned it off using power button and let it cool down for a while after that all i hear when i try to switch it on is a continuous beep which wont go away no bios nothing just sound of cd drive and i tried replacing the cmos battery bt it didnt help and it messed my ac adapter aswell as now light is blinking on the adapter and i am trying to use whats left in the battery.

Any advice on what might be wrong and how to repair it would be appreciated and thanx in advance.

update

I tried resetting rams and removed hdd and it didnt help and i removed the battery and tried to do it on ac power my adapter went bad and light started blinking on the adapter.so something wrong with power i guess I tried powering it using the battery charge to check if processor was getting hot and yes it did get hot and i did hear cd drive spinning so motherboard looks ok but still no bios and loud continuos beep dont know what to do spent hours today on this any help would be highly appreciated

Everytime i have heard a similair story it has been a failed motherboard.
