Should i upgrade from core duo to core 2 duo, or not worth it?

I have an xps m1710 with 2 gig ram, 7900gtx card and a core duo 2 ghtz processor. My company has decided they are willing to pay to upgrade my CPU to a core 2 due 2.16 ghtz. Should I take the upgrade?
Aside from the fact thats free and all, my real concern if it will yield better gaming performance and battery life.

i figure that since i am not only upgrading the architecture but also the actual speed by .16 mghtz, it would be a good choice. Please let me know.

Also, if anyoen has an "idiots guide' on overclocking/modding a stock 7900 gtx, pelase point me to it. or lese, if you are in miami, florida, and willign to help, let me know.

You will not notice but considering that the upgrade is free I dont see why you WOULDNT take it. And as for the guide check the sticky regarding unnofficial BIOS for the 7900GTX.

Well, I jsut dont want to abuse on my boss, sicne things are not extremly "profitable" right now. its jsut that i read that the extra cashe, speed and architecture improvements would yield performance increase. but ill still consider it i guess

Also, if I upgrade to merom, will I be able to run vista 64 bit? and if so, are there any advantages in doing so now/near future?

Yes you can run Vista 64-bit, however the disadvantage is that then you can run Vista...

I saw a drastic performance increase in both gaming and watching Blu Ray Films when I switched from a 2 ghz core duo (32 bit) to a t7600G (64 bit)

It depends on what you use your laptop for whether you will notice a performance increase with the extra cache (the extra mhz is negligible).

I find the extra cache really helps with things such as video encoding, CAD stuff etc.

I would go ahead and get the upgrade and if you feel really bad, either give him the "old" proc or sell it and give him the cash.

D.
