Hello I am running XP on a p4 3.2 ghz with newly upgraded RAM OCZ Reaper HPC Edition 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory Model OCZ2RPR8002GK. On a gateway with a stock 300w power supply. I am looking to upgrade my video card as well from a Geforce 7300gt to compliment my new RAM. However I am finding most video cards I look at are hindered by the Power supply, most requiring or "recommending" 400w+ does this truley matte, given my current lackluster setupr? Or could someone recommend the highest end card avaible for my current system settings. I am only out to purchase a card atm. Thank you for your help.

What video cards are you looking at? If you're thinking about the nvidia 8800 series, then your current psu is not sufficient to handle it. If you have a standard atx case, you can easily swap your current psu with a higher wattage psu.

Personally I don't see you gaining too much from a better gpu with your current specs. You'd be better off saving a little bit and buying a new motherboard and cpu. If you are set on just upgrading the psu/gpu check out my recommendation in this thread:

I agree. Only problem with upgrading mobo/cpu would be the power supply as you've stated... 300w probably wont cut it for the type of upgrade you'll be looking into. Power supplies aren't terrible expensive though so it'll be a useful investment.
